1. About These Terms
These Terms & Conditions (“Terms“) govern your access to and use of the Pantryno platform provided by PANTRYNO LIMITED, a company registered in Ireland (“Pantryno”, “we”, “us”, “our”), comprising:
- the Pantryno Personal Web Application;
- the Pantryno Business Web Application;
- the Pantryno Personal Mobile Application (iOS and Android);
- the Pantryno Business Mobile Application (iOS and Android);
(together, the “Service“).
By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.
If you use the Service on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and “you” refers to that organisation.
2. Eligibility
To use the Service you must:
- be at least 18 years old;
- provide accurate and complete registration information, including a valid email address and date of birth;
- not have been previously suspended or removed from the Service for breach of these Terms.
Business accounts may only be created by persons authorised to act on behalf of the relevant business.
3. Your Account
3.1 Registration
You must register with accurate information and keep it up to date. Accounts require email verification before activation.
3.2 Security and Passwords
You are responsible for:
- keeping your password confidential and using a sufficiently strong password;
- all activity that occurs under your account;
- notifying us without undue delay at the contact address in Section 22 if you suspect unauthorised access to your account.
We are not liable for losses arising from unauthorised use of your account where you have failed to keep your credentials secure, except where the loss is caused by our breach of these Terms or applicable law.
3.3 One Account per Person
You may not share your individual login credentials. Collaboration is provided through shared groups, households and business teams (Section 10), not through credential sharing.
4. The Service
Pantryno is a household and business management platform which may include, depending on your plan and platform: budgeting and financial overview, manual and bank-imported transactions, savings goals, reminders, tasks and to-do lists, notes, shopping lists, document storage, inventories, invoicing and finance tools (business), dashboards, reports, timelines, notifications and collaboration features.
We continuously develop the Service. We may add, modify or discontinue features, provided that material reductions of paid functionality during a paid period will entitle you to the remedies described in Section 7.6.
5. Subscriptions and Plans
5.1 Plans
The Service offers a free tier and paid subscription tiers (as displayed in the Service at the time of purchase, e.g. Personal, Family and Premium). Features, limits and prices for each tier are described in the Service. TODO: Verify final live tier names, prices and feature matrices at launch.
5.2 Billing Cycles
Paid subscriptions are offered on a monthly or annual billing cycle, as selected at checkout. Annual plans may include a discount as displayed at purchase.
5.3 Purchase Channels
Subscriptions may be purchased:
- via Stripe on the web applications;
- via Apple In-App Purchase on iOS;
- via Google Play Billing on Android.
Where you purchase via Apple or Google, the purchase, billing, renewal, cancellation and refund process is additionally governed by the terms of the relevant store, and certain matters (such as refunds) must be handled directly with Apple or Google.
TODO: Verify — confirm which purchase channels are live at publication.
5.4 Trials
If a free trial is offered, its duration and conditions will be stated at sign-up. Unless you cancel before the end of the trial, the subscription converts to a paid subscription and the applicable fee is charged. TODO: Verify whether trials are offered at launch.
5.5 Renewals
Subscriptions renew automatically at the end of each billing period at the then-current price, unless cancelled before the renewal date. We will notify you in advance of renewal where required by law.
5.6 Cancellation
You may cancel at any time via the Service (web/Stripe subscriptions) or via your Apple/Google account settings (store subscriptions). Cancellation takes effect at the end of the current billing period; you retain paid features until then. Except as set out in Section 5.8 or required by law, fees already paid are non-refundable.
5.7 Price Changes
We may change subscription prices. Price changes take effect at your next renewal. We will give you reasonable advance notice (at least 30 days for existing subscribers), and you may cancel before the change applies.
5.8 Consumer Withdrawal Right (EU)
If you are an EU consumer, you have a statutory 14-day right of withdrawal from the purchase of a digital service. By starting your subscription immediately, you acknowledge that if you withdraw within 14 days you may be charged a proportionate amount for the service already provided, and that the withdrawal right lapses once the service has been fully performed with your prior express consent. Withdrawal requests for Apple/Google purchases must be made through the relevant store.
5.9 Taxes
Prices are stated inclusive or exclusive of VAT as indicated at checkout. Applicable VAT or other taxes are determined by your billing country.
5.10 Failed Payments and Suspension
If a renewal payment fails, we may retry payment and notify you. If payment remains outstanding after a reasonable period, we may downgrade your account to the free tier or suspend paid features until payment is made. Your data is not deleted merely because of a downgrade, but free-tier limits may restrict access to some content until you upgrade or reduce usage.
6. Open Banking and Third-Party Services
6.1 Enable Banking
Bank connectivity is provided through Enable Banking Oy, an authorised Open Banking provider operating under PSD2. By connecting a bank account you acknowledge and agree that:
- you authenticate directly with your bank; Pantryno never receives or stores your online banking credentials;
- account information is accessed only through the authorised Open Banking provider with your explicit consent;
- you may revoke consent at any time by disconnecting the connection in the Service;
- connectivity depends on your bank and the Open Banking provider; we do not guarantee that any particular bank is or will remain available, or that data retrieved from your bank is complete or error-free;
- periodic re-authentication with your bank is required under PSD2.
6.2 Payment Providers
Payments are processed by Stripe, Apple and Google as described in Section 5.3. We are not responsible for the acts or omissions of these providers, though we will provide reasonable assistance with payment issues relating to Stripe purchases.
6.3 Other Third-Party Services
The Service may link to or interoperate with other third-party services (e.g. Google sign-in). Your use of a third-party service is governed by that third party’s terms and privacy policy.
7. Availability, Maintenance and Support
7.1 Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted availability. The Service is provided on a commercially reasonable efforts basis.
7.2 Maintenance
We may perform scheduled or emergency maintenance. Where practicable, we will schedule maintenance outside peak hours and give advance notice of significant planned downtime.
7.3 Modifications
We may modify the Service for legal, security, technical or business reasons as described in Section 4.
7.4 Support
Support is provided via the contact channels listed in Section 22. TODO: Verify support channels and response targets.
7.5 Beta Features
Features identified as beta, preview or experimental are provided as-is, may change or be withdrawn at any time, and may be excluded from support commitments.
7.6 Material Degradation
If we materially reduce core paid functionality during a period you have already paid for, you may terminate the affected subscription and receive a pro-rata refund for the unused period. This is your exclusive remedy for feature changes, without prejudice to your statutory rights.
8. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or in breach of any applicable law or regulation;
- attempt to gain unauthorised access to the Service, other users’ accounts or data, or our infrastructure;
- probe, scan or test the vulnerability of the Service without our prior written consent;
- interfere with or disrupt the Service, including by overloading, flooding or spamming;
- reverse engineer, decompile or disassemble the Service, except to the extent permitted by law;
- scrape, harvest or extract data from the Service by automated means without our written consent;
- upload malware or any harmful, infringing or unlawful content;
- impersonate any person, misrepresent your affiliation, or provide false registration information;
- use the Service to store or share content that is defamatory, discriminatory, or otherwise objectionable in a manner that violates law or the rights of others;
- resell, sublicense or provide the Service to third parties as a service bureau without our written agreement;
- circumvent plan limits, trial restrictions or technical protection measures.
We may investigate suspected violations and take appropriate action under Section 12.
9. Your Content and Data Ownership
9.1 Ownership
You retain all rights in the content and data you submit to the Service — including financial records, documents, notes, tasks, inventories and any other material (“User Content“). Nothing in these Terms transfers ownership of User Content to us.
9.2 Licence to Us
You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display and back up User Content solely to the extent necessary to operate, secure and improve the Service and to comply with law. This licence ends when the relevant content is deleted from the Service (subject to backup rotation periods).
9.3 Responsibility
You are responsible for your User Content and must ensure you have the necessary rights to upload and share it. We do not monitor User Content but may remove content that we reasonably believe violates these Terms or applicable law.
9.4 Export and Portability
You may export your data using the tools provided in the Service and may request a data export as described in the Privacy Policy.
10. Shared Groups, Households, Teams and Business Accounts
10.1 Shared Groups and Households (Personal)
You may create or join shared groups. Content shared into a group is visible to its members. Group administrators may manage membership. You are responsible for what you choose to share.
10.2 Business Organisations and Teams
Business accounts may create an organisation, invite team members by email, assign roles (e.g. owner, admin, member), change roles, remove members and transfer ownership. The organisation owner is responsible for:
- ensuring invited members are authorised to access the organisation’s data;
- the acts and omissions of its members within the workspace;
- maintaining the accuracy of business details (company name, registration and tax identifiers).
10.3 Administration of Members
When your access to an organisation is removed, you lose access to that organisation’s workspace content; your personal account remains unaffected.
10.4 Data Roles
Where an organisation administers a workspace, data protection roles are described in the Privacy Policy (Section 15). A data processing agreement is available to business customers on request. TODO: Verify DPA availability.
11. Intellectual Property and Licence to You
11.1 Our IP
The Service, including its software, design, interfaces, logos, trade marks and all related intellectual property rights, is owned by Pantryno or its licensors. Except for the limited licence in Section 11.2, no rights are granted to you.
11.2 Your Licence
We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the applications and access the Service for your internal personal or business purposes in accordance with these Terms and, for mobile applications, the applicable app store terms.
11.3 Feedback
If you provide feedback or suggestions, we may use them without restriction or obligation to you.
12. Suspension and Termination
12.1 Termination by You
You may stop using the Service and delete your account at any time via Settings → Account.
12.2 Suspension or Termination by Us
We may suspend or terminate your access, in whole or in part, with immediate effect if:
- you materially breach these Terms (including the Acceptable Use rules in Section 8) and, where the breach is remediable, fail to remedy it within a reasonable period after notice;
- we are required to do so by law or by a competent authority;
- your account presents a security risk to the Service or other users;
- payment for a paid plan remains outstanding (paid features only — see Section 5.10).
Where reasonable, we will give prior notice and an opportunity to remedy.
12.3 Effect of Termination
Upon account deletion, your data is handled as described in the Privacy Policy (Section 14). Sections that by their nature should survive termination (including Sections 9.2 for the wind-down period, 11, 13, 14, 15 and 19–21) survive.
13. Disclaimers
- No financial advice. The Service provides tools for organising and visualising your own financial and household information. Nothing in the Service constitutes financial, investment, tax, accounting or legal advice. You should obtain professional advice before making financial decisions.
- Data accuracy. Financial data retrieved via Open Banking is provided by your bank through the Open Banking provider. We do not guarantee its accuracy, completeness or timeliness, and dashboards, reports, forecasts and categorisations are provided for information only.
- Future AI features. Any AI-generated insights, categorisations or recommendations that may be introduced are automated outputs which may be inaccurate; they are not advice and should be verified before reliance.
- To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Nothing in these Terms limits any statutory warranty or guarantee that cannot be excluded under Irish or EU consumer law.
14. Limitation of Liability
- Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under Irish law.
- Subject to paragraph 1, we are not liable for: loss of profits, revenue, business or goodwill; loss or corruption of data caused by events outside our reasonable control; or indirect or consequential loss.
- Subject to paragraphs 1 and 2, our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the greater of (a) the amounts you paid to us for the Service in that period, and (b) €50.
- If you are a consumer, these limitations apply only to the extent permitted by applicable consumer protection law, and your statutory rights remain unaffected.
15. Indemnification
If you are a business user, you will indemnify and hold harmless Pantryno against claims, damages and reasonable costs arising from: (a) your User Content; (b) your breach of these Terms; or (c) your organisation’s members’ use of the Service in breach of these Terms. This clause does not apply to consumers.
16. Privacy and Data Protection
Our processing of personal data is described in the Privacy Policy, which forms part of your agreement with us. We process personal data in accordance with the GDPR and Irish data protection law. Your GDPR rights — including access, rectification, erasure, portability, objection and the right to withdraw consent — are set out in the Privacy Policy.
17. Future AI Features
Pantryno may introduce AI-powered functionality, including AI assistants, natural language processing, financial insights, recommendations, automation, categorisation, personalisation, predictive analytics and machine learning. Where introduced:
- such features will comply with applicable law, including the GDPR and, where applicable, the EU AI Act;
- where consent is legally required for the associated data processing, we will obtain it before enabling the feature for you;
- AI outputs are provided for convenience and information only (see Section 13.3);
- material AI features will be described in the Service and, where relevant, reflected in updates to these Terms and the Privacy Policy.
18. Changes to These Terms
We may amend these Terms from time to time. For material changes we will give you at least 30 days’ notice through the Service or by email before the changes take effect. If you do not agree to the changes, you may terminate your account before the effective date. Continued use after the effective date constitutes acceptance. Changes required by law or necessary for security may take effect immediately.
19. Governing Law
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of Ireland. If you are a consumer resident in another EU member state, you also benefit from any mandatory consumer protection provisions of the law of your country of residence.
20. Dispute Resolution
- Talk to us first. Please contact us (Section 22) and we will try to resolve any issue informally.
- Courts. Subject to paragraph 3, the courts of Ireland have jurisdiction over disputes arising from these Terms.
- Consumers. If you are a consumer, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms deprives you of that right.
- ODR / ADR. EU consumers may use the European Commission’s Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr). We are not obliged to, and do not currently commit to, participate in alternative dispute resolution before a consumer arbitration board, but will consider requests in good faith. TODO: Verify company position on ADR participation.
21. General
- Entire agreement. These Terms, the Privacy Policy and any plan-specific terms displayed at purchase form the entire agreement between you and us regarding the Service.
- Severability. If any provision is found invalid, the remainder continues in effect.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, with notice to you.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Language. These Terms are drafted in English. Translations may be provided for convenience; the English version prevails to the extent permitted by law.
